Restrictive Covenants (restraint of trade)


A restrictive covenant is an agreement between an employer and employee restricting certain activities during and after, in the event of termination of employment .They are concerned with protecting the employers interests, and are often drafted to prevent: non-solicitation, non-dealing, and non-poaching. The most frequent covenants we draw up include competing with the employer, restriction of trade secrets and non-solicitation of the employers clients upon termination of contract. Restrictive covenants should always be drawn up with qualified legal expertise as they are a notoriously difficult balancing act, where the test of ‘reasonableness’ is used.
